Terms of Use

The rules governing access to and use of the 4TRAITS website, tools, AI functions, document workflows and related services.

These Terms of Use govern access to and use of the 4TRAITS website, protected tools, AI-enabled functions, document workflows, client and partner portals, and related digital services made available by 4TRAITS LLC.

By accessing or using the Services, creating an account, submitting an order, clicking an acceptance box, or electronically signing a document, you agree to these Terms. Where affirmative acceptance is required, you may not proceed unless you agree.

1. About 4TRAITS

4TRAITS LLC is a limited liability company established in Sharjah Media City Free Zone (Shams), Sharjah, United Arab Emirates, under licence number 2112716.01. Its tax registration number is 105420643600001.

In these Terms, “4TRAITS,” “we,” “us,” and “our” mean 4TRAITS LLC. “You” means the person using the Services and, where applicable, the organisation on whose behalf that person acts.

2. Eligibility and authority

You must be at least 18 years old to use the Services.

When you act for a company, partnership, client, employer or other organisation, you confirm that you have authority to bind that organisation and to provide its instructions, content and data. If you do not have that authority, you must not accept these Terms or use the Services on its behalf.

3. Scope and order of documents

These Terms govern general access to and use of the Services. A proposal, order form, service agreement, statement of work, non-disclosure agreement, data processing agreement or other document signed by you and 4TRAITS may contain additional or different terms.

If a signed document conflicts with these Terms, the signed document prevails to the extent of the conflict. These Terms continue to apply to matters not addressed in the signed document, including platform access, security and acceptable use.

4. The Services

The Services may include business systems, workflow automation, customer-experience tools, AI-assisted content and analysis, document generation and signing, financial and operational tools, lead-management functions, client portals, integrations and related professional services.

We may improve, update, replace or discontinue features. Beta, preview or experimental features may change materially or be withdrawn. A signed agreement may specify committed deliverables, service levels or availability terms that override this general provision.

5. Accounts and access security

You must provide accurate information, keep it current, protect your passwords, access codes and authentication devices, and restrict access to authorised personnel.

You must promptly notify us at care@4traits.io if you suspect unauthorised access, credential compromise or misuse. Accounts and credentials may not be shared outside the authorised organisation or used to avoid access restrictions.

We may require password resets, multi-factor authentication or other reasonable security measures and may restrict compromised access.

6. Acceptable use

You must not use the Services to:

  • break any applicable law, regulation, court order or binding obligation;
  • commit fraud, deception, impersonation, harassment, abuse or unlawful discrimination;
  • send spam or unsolicited marketing that does not comply with applicable rules;
  • collect, scrape, enrich or use personal data without lawful authority;
  • upload malware, malicious code or material designed to disrupt or compromise systems;
  • probe, scan, attack or bypass security, rate limits, access controls or technical restrictions;
  • share credentials, obtain unauthorised access or interfere with another user’s account or data;
  • reverse engineer, decompile, copy or extract protected software, models, prompts, methods or source code except where such restriction is prohibited by law;
  • infringe intellectual-property, confidentiality, privacy, publicity or other rights;
  • upload content you do not have the right to provide;
  • use the Services to make unlawful or harmful decisions about individuals; or
  • misrepresent AI-generated or draft content as verified professional advice or official approval.

We may investigate suspected misuse, proportionately restrict or suspend access, remove unlawful material, preserve relevant evidence and cooperate with competent authorities where legally required. We will provide notice and an opportunity to remedy where reasonably practicable and appropriate.

7. Your content and instructions

You retain ownership of content, documents, data, prompts, designs and other material you provide to the Services, together with your pre-existing intellectual property.

You grant 4TRAITS and its authorised service providers a limited, non-exclusive right to host, copy, transmit, process, transform and otherwise use that material only as reasonably necessary to provide, secure, support and improve the requested Services, comply with law and enforce applicable agreements.

You confirm that:

  • you have all rights and permissions needed to provide the material;
  • your instructions are lawful and accurate;
  • you have given required notices and obtained required consents for personal data relating to other people; and
  • the material does not contain unnecessary sensitive, restricted or unlawful information.

We may reject, quarantine or securely delete material that creates a security, legal or privacy risk.

8. Customer personal data

When you upload or manage personal data on behalf of your organisation, you are responsible for determining whether and why that data may lawfully be processed. 4TRAITS will generally process such data on your documented instructions and to provide the Services.

A separate Data Processing Agreement may apply. You must not instruct us to process personal data in a manner that violates applicable law or another person’s rights.

9. AI and automated features

The Services may use third-party and proprietary AI systems to generate drafts, summaries, recommendations, classifications, scores or other outputs. AI outputs may be incomplete, inaccurate, outdated, biased or unsuitable for a particular purpose.

You must independently review and verify material outputs before relying on, publishing, submitting or acting on them. You remain responsible for your decisions, instructions and use of outputs.

Unless explicitly agreed otherwise:

  • AI outputs do not constitute guaranteed facts or professional advice;
  • 4TRAITS does not guarantee that outputs are unique or free from similarity to material generated for others;
  • customer content will not be used by 4TRAITS to train general-purpose public AI models without explicit consent; and
  • decisions that have a significant legal or similarly serious effect on an individual must not be made solely by automated means without appropriate authority, safeguards and meaningful human review.

10. No regulated professional advice

Website content, templates, generated documents, calculators, financial tools, tax summaries, contract drafts and AI outputs are informational drafts and operational aids only.

They are not legal, tax, accounting, audit, investment, financial, medical or other regulated professional advice and do not create a lawyer-client, accountant-client, fiduciary or similar professional relationship. You should obtain advice from an appropriately qualified professional before making material decisions or submitting documents to a regulator, court, counterparty or other authority.

11. Electronic communications, acceptance and signatures

You consent to receiving service-related communications electronically, including by email and through the platform.

A click-to-accept box, typed name, one-time code, digital identity, electronic signature or other electronic action may create a binding agreement where it identifies the actor and demonstrates an intention to accept or sign.

You must review the relevant document before signing, verify the information entered and confirm that you have authority to sign for any represented organisation. 4TRAITS may keep an audit record of acceptance or signing, including the applicable document version, date and time, account or actor identifier, transaction reference, device information and other proportionate evidence.

The availability of a signing tool does not mean that every electronic signature has the same evidential status. Certain documents may require a qualified trust service, notarisation, witnessing, government platform or another formal process.

12. Third-party services and integrations

The Services may connect with hosting providers, databases, payment processors, communications services, AI providers, cloud platforms, calendars, social networks and other third-party services.

Third-party services are governed by their own terms and privacy practices. You are responsible for your third-party accounts, credentials, permissions and lawful use. We are not responsible for an independent provider’s outage, policy change or misconduct, but remain responsible for our own integration design, provider selection and handling of information within our control.

13. Fees, payments and refunds

Fees, taxes, payment milestones, subscriptions, deposits, cancellation rights and refund rules are stated in the applicable order, proposal or signed agreement.

Unless mandatory law or the applicable agreement requires otherwise, fees attributable to work already performed, deliverables already supplied and non-cancellable third-party costs are not refundable.

Payments may be processed by approved payment providers. 4TRAITS does not intend to store complete payment-card numbers or card security codes.

14. Intellectual property

4TRAITS and its licensors retain ownership of the Services and all associated software, platform architecture, interfaces, trade marks, branding, documentation, templates, prompts, methods, models, know-how and reusable components.

No right is granted except the limited right to use the Services in accordance with these Terms and any signed agreement.

Ownership or licensing of bespoke client deliverables will be governed by the applicable signed agreement and will normally transfer only after full payment of all related amounts. Reusable tools, frameworks, methods, generic components and pre-existing intellectual property remain with their original owner unless expressly agreed otherwise.

15. Confidentiality and publicity

Each party must protect information that is marked confidential or that a reasonable person would understand to be confidential, use it only for the relevant relationship and disclose it only to personnel, advisers and providers who need it and are subject to appropriate duties.

Confidentiality does not apply to information that is lawfully public, independently developed without use of the confidential information, lawfully received without restriction, or required to be disclosed by law. Where legally permitted, the receiving party should provide reasonable notice before compelled disclosure.

4TRAITS will not publicly identify a client, use a client logo, disclose project results or publish a case study without prior written approval.

16. Aggregated and de-identified information

We may use genuinely aggregated or de-identified information to secure, analyse and improve the Services and to produce internal or external reporting, provided it does not reasonably identify a customer or individual and is not used to reconstruct personal data.

17. Availability, maintenance and changes

The Services are provided on an “as available” basis. We will use reasonable care in operating them but do not promise uninterrupted, error-free or universally suitable operation.

Maintenance, provider failures, security events, internet conditions, force majeure and other circumstances may affect availability. We may introduce reasonable usage limits or technical safeguards to protect the Services and other users.

18. Suspension and termination

You may stop using the Services and may request account closure, subject to any signed agreement and outstanding obligations.

We may suspend or terminate access for material breach, non-payment, unlawful activity, security risk, misuse or conduct that threatens the Services or others. We will normally give notice and a reasonable opportunity to remedy a remediable breach, unless immediate action is reasonably necessary.

After termination, a customer will normally have 30 days to export available customer data, unless a signed agreement provides otherwise. We may then delete or anonymise it, subject to legal, tax, security, backup, fraud-prevention and dispute-retention requirements.

Sections that by their nature should continue—including intellectual property, confidentiality, payment obligations, disclaimers, liability, indemnity, dispute resolution and record preservation—survive termination.

19. Disclaimers

To the extent permitted by law, we do not make implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy or uninterrupted availability.

Nothing in these Terms excludes a warranty, right or remedy that applicable law does not permit us to exclude.

20. Limitation of liability

To the extent permitted by law:

  • 4TRAITS is not liable for indirect, incidental, special or consequential loss, loss of profit, revenue, opportunity, goodwill, anticipated savings or data, or business interruption;
  • for a paid service, 4TRAITS’ aggregate contractual liability arising from that service will not exceed the fees paid to 4TRAITS for the affected service during the 12 months preceding the event giving rise to the claim; and
  • for a free or informational service, liability is limited to direct and reasonably foreseeable loss recoverable under applicable law.

The limitations apply regardless of the form of claim, but only to the extent legally permitted.

Nothing limits or excludes liability where limitation is prohibited by law, including fraud, wilful misconduct, personal injury, mandatory data-protection or consumer rights, or liability arising from a harmful act where it cannot lawfully be excluded or reduced.

A signed agreement may contain a different liability allocation for a specific engagement.

21. Business-user indemnity

If you use the Services for business purposes, you will defend and reimburse 4TRAITS against third-party claims, losses, liabilities and reasonable costs to the extent caused by:

  • your unlawful use of the Services;
  • content or data you supplied without authority;
  • your infringement of another person’s rights;
  • your breach of confidentiality; or
  • your material breach of these Terms.

This obligation does not apply to the extent a claim was caused by 4TRAITS’ own breach, negligence, unlawful conduct or misconduct. We will give reasonable notice of a covered claim and allow reasonable participation in its defence. No settlement may impose an admission, payment or non-monetary obligation on the other party without that party’s consent.

22. Mandatory consumer rights

Nothing in these Terms limits rights available to a consumer under mandatory UAE law. If a provision conflicts with a mandatory consumer protection rule, that rule prevails and the remaining provisions continue to apply.

23. Changes to these Terms

We may update these Terms to reflect changes in law, the Services, security requirements or business practices. The current version will display its effective date and version number.

We will provide reasonable notice of material changes through the platform, account email or another appropriate channel before they take effect where appropriate. We may require renewed affirmative acceptance for material changes. Continued use after the effective date constitutes acceptance where permitted, but does not replace fresh consent where the law requires it.

24. Governing law and courts

These Terms and any non-contractual obligations arising from them are governed by the federal laws of the United Arab Emirates and the laws applicable in the Emirate of Sharjah.

The competent courts of Sharjah have exclusive jurisdiction, unless a separately signed agreement specifies another lawful dispute-resolution mechanism.

25. General provisions

You may not assign or transfer your rights or obligations without our prior written consent, except as part of a lawful reorganisation or sale of substantially all relevant business assets where the successor assumes the obligations. We may assign these Terms as part of a merger, reorganisation, financing or transfer of the relevant business, subject to applicable law.

A delay in enforcing a right is not a waiver. If any provision is held invalid or unenforceable, it will be adjusted to the minimum extent necessary and the remaining provisions remain effective.

Neither party is liable for delay caused by events beyond its reasonable control, except that payment obligations already due are not excused.

The English version is the initial controlling version. An Arabic version may be published after legal alignment. Where mandatory law requires another interpretation or language to prevail, mandatory law controls.
